Hublix Service Provider Terms of Use (England & Wales)

Introduction and Acceptance

This Service Provider Terms of Use ("Terms") is a legal agreement between Hublix Ltd ("Hublix," "we," or "us") and you, the individual self-employed service provider ("Service Provider" or "you"). Hublix Ltd, a company incorporated in England and Wales (Company No. 16546874), with registered office at 31 Swallow Street, Iver, England, SL0 0ER, UK. These Terms govern your access to and use of the Hublix platform and mobile application (the "Platform").

By ticking the consent box and clicking "Agree" during signup, you accept these Terms electronically. You acknowledge that this acceptance constitutes your signature and agreement, and that such electronic acceptance shall not be denied legal effect solely due to its electronic form. If you do not agree to any part of these Terms or any referenced documents, do not proceed or use the Platform.

Related Documents. These Terms (together with the Subscription Schedule and any other schedules referenced herein) set out the complete agreement between you and Hublix regarding the Platform. You should also review our separate Privacy Notice (Service Providers) v1.0 (effective 10 November 2025) and Cookie Policy, which explain how we handle your personal data and use of cookies. In case of any conflict, these Terms shall prevail over other documents, except where a schedule explicitly overrides a specific clause. These Terms and related documents apply only to Service Providers in England and Wales. We may update these Terms from time to time as described in Section 8 (General Provisions).

1. Hublix Platform Service and Role of Hublix

Platform Purpose

Hublix provides a software Platform (including a mobile app with online and offline modes) that enables you to manage aspects of your delivery or courier services business. Platform features include, for example: offline data capture, vehicle maintenance check logging, service scheduling, invoice and earnings history, and support ticketing tools.

Hublix is a technology provider only – we do not procure delivery opportunities for you or connect you with end-customers. No delivery or transport service opportunities originate from Hublix, and Hublix does not act as a courier/delivery agency. It is solely your responsibility to source and contract with your own customers or obtain service contracts through other channels.

These Terms govern only your subscription to and use of the Platform and related services; no employment, partnership, or agency relationship with Hublix is created. Nothing in this Agreement shall be construed as Hublix engaging you to perform any deliveries or services on Hublix's behalf, or as creating any partnership, joint venture, or employment relationship – you remain an independent self-employed service provider at all times.

No Guarantee of Service Opportunities

Because Hublix is a platform-only service, Hublix makes no promise or guarantee that using the Platform will result in any particular volume of service opportunities or earnings for you. Any contracts for courier or delivery services you enter into outside the Platform are solely between you and your client or customer, and Hublix is not a party to those contracts.

Hublix will not be liable for the performance of any delivery or service that you undertake for third parties, and Hublix is not responsible for resolving any disputes between you and your customers. You are solely responsible for complying with all laws and regulations applicable to the services you provide to third parties (such as road safety, insurance, and transport regulations).

Platform Access Only

Subject to your compliance with these Terms (and payment of the applicable subscription fees), Hublix grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Platform and app software for your own business purposes. All intellectual property rights in the Platform (software, trademarks, content, etc.) remain owned by Hublix or its licensors.

You agree not to copy, modify, distribute, reverse-engineer, or misuse the Platform. You may not permit any third party to use your account or the Platform on your behalf. All use must be lawful and in accordance with Section 5 (Permitted Use) below. Hublix reserves the right to suspend or terminate your access if you violate these Terms or misuse the Platform.

2. Eligibility and Service Provider Obligations

Service Provider Eligibility

By registering an account, you represent and warrant that you meet the following criteria at all times during the term of this Agreement:

• You are at least 18 years old and legally entitled to provide services as a self-employed individual in the UK;
• You hold a valid UK driving licence appropriate for the class of vehicle you use for your services, which is in full force and effect (not expired, suspended, or revoked);
• Any vehicle you use in connection with your services is roadworthy and compliant – including holding a valid MOT certificate (if required), current vehicle tax, and appropriate insurance (e.g. business use or hire & reward insurance as applicable); and
• You have any other permits or certifications that may be required for the type of services you provide.

Obligation to Provide Accurate Information

You agree to provide true, accurate, and up-to-date information during onboarding and throughout your use of the Platform. This includes your personal details (name, address, contact information), your driving licence details, your vehicle information (make, model, registration number, insurance status, MOT and tax due dates), and your VAT registration status (whether you are VAT-registered and your VAT number, if applicable). You must promptly update your Hublix account with any changes to this information.

Important: You must notify Hublix immediately if (i) you are charged with or convicted of any driving-related offence, receive penalty points on your licence, or are disqualified from driving; (ii) your driving licence expires, is suspended or revoked; (iii) your vehicle's MOT or tax lapses, or your insurance is cancelled; or (iv) any other circumstance arises that might affect your legal ability to perform delivery or driving services. Upon Hublix's request, you will provide copies of relevant documents to verify your compliance (e.g. driving licence, proof of insurance, MOT certificate).

DVLA Licence and Vehicle Checks

You acknowledge and agree that Hublix has a legitimate interest in verifying your driving credentials for safety and compliance purposes. To facilitate this verification, you consent to Hublix validating your driving licence status and driving record with the Driver and Vehicle Licensing Agency (DVLA) and checking your vehicle's MOT and road tax status via relevant databases.

These DVLA checks will confirm that your licence is valid and reveal any endorsements or disqualifications, and confirm the vehicle classes you are allowed to drive. We may perform such checks at onboarding and periodically (for example, annually or as needed) to ensure ongoing compliance. To facilitate these checks, you agree to provide certain information (such as your driving licence number, National Insurance number, and a "DVLA check code" or grant consent for us to retrieve your record).

We will handle any data obtained from DVLA in accordance with our Privacy Notice v1.0 (effective 10 November 2025). If a check indicates that you no longer meet our eligibility criteria (for example, if your licence has been revoked or you have been disqualified), Hublix may suspend or terminate your access to the Platform immediately (see Termination in Section 6) for safety and compliance reasons.

Independent Contractor Status

You acknowledge and agree that you are signing up to use the Platform as an independent, self-employed service provider. You are not an employee, worker, agent, or partner of Hublix, and nothing in these Terms creates any such relationship. You are solely responsible for determining when, where, and how much you use the Platform and perform your services.

You are free to use competing platforms or tools and to engage in any other business activities. You are responsible for your own taxes, National Insurance contributions, and any other liabilities arising from your self-employed status. Hublix does not supervise or control your services for any third-party clients; our role is limited to providing you with the Platform subscription service. You will not hold yourself out as having authority to bind Hublix in any way, and you agree that you shall not present yourself to any third party as an agent or representative of Hublix.

3. Subscription Fees and Payment

Subscription Requirement

Access to the Hublix Platform is offered on a paid subscription basis only. Upon creating an account, you must select a subscription plan (currently the Basic Plan) and provide a valid payment method. The features and pricing of each plan are detailed in the Subscription Schedule (Schedule 1 to these Terms), which forms an integral part of this Agreement and is incorporated by reference. The Subscription Schedule version presented to you during signup (as recorded in your acceptance confirmation) forms part of your contract. No free trial is available – subscription fees are payable from the start with no introductory free period.

Current Subscription Schedule: v1.0 (effective 15 November 2025). You can view the current Subscription Schedule on the Hublix website or in your account portal. We may update the Subscription Schedule from time to time; material changes will be notified to you at least 30 days in advance as described in Section 8 (General Provisions).

Note: All subscription signup and account management (including entering or updating payment details, plan changes, and cancellation) must be done via the Hublix website (in your account portal) or by contacting us; the mobile app itself does not support purchasing or managing subscriptions.

Fees and Pricing

Subscription fees are charged weekly, in advance for the upcoming week. The current plan pricing is set out in Schedule 1 (Subscription Schedule) and forms part of these Terms.

Important: Hublix Ltd is not currently VAT-registered. All subscription fees stated are final prices inclusive of all taxes. No VAT is charged or shown separately on invoices. If Hublix becomes VAT-registered in future and must add VAT to subscription prices, we will notify you of any pricing changes at least 30 days in advance.

We will issue electronic invoices/receipts for all subscription payments. You must keep your billing address and tax status (e.g., VAT registration, if applicable to your business) up to date; charges will reflect the information you provide.

Billing Cycle

The standard subscription period is a weekly cycle running from Sunday 00:01 to the following Saturday 23:59 (UK local time). Your subscription renews automatically at 00:01 each Sunday for the upcoming week. However, payment for each upcoming week is collected in advance, on the preceding Thursday.

In practice, this means your provided payment card will be charged every Thursday, to cover the subscription fee for the week commencing the next Sunday. For example: if a new weekly period begins on Sunday at 00:01, your card will be charged on Thursday of the prior week for the subscription covering that Sunday through the following Saturday.

Continuous Payment Authority and Consent

By subscribing to a subscription plan detailed in the Subscription Schedule (Schedule 1), you grant Hublix a Continuous Payment Authority (CPA) to charge your payment card on a recurring basis. Specifically, you authorize and consent to the following:

• Hublix may charge your payment card the subscription fee for your selected plan on a weekly recurring basis, in advance for each upcoming service week;
• The subscription fee amount, billing day, and payment schedule are as set out in the Subscription Schedule (Schedule 1) for your chosen plan;
• Hublix (via its payment provider, Square) may securely store your payment card details (in tokenized form) for the purpose of processing these recurring charges;
• Charges will continue automatically each week at the then-current rate for your chosen plan, until you cancel your subscription or withdraw your consent;
• If you change plans, the recurring charge amount will adjust to reflect the new plan price as set out in the Subscription Schedule, and we will notify you before processing the first charge at the new rate.

Your Rights: You may cancel this Continuous Payment Authority at any time by cancelling your subscription via your account settings on the Hublix website, or by contacting us at support@hublix.ai. You may also instruct your bank or card issuer to block future payments from Hublix. See Section 4 (Cancellations, Refunds, and Failed Payments) for full cancellation terms.

This recurring payment arrangement is a Continuous Payment Authority as defined under the Payment Services Regulations 2017 (PSR 2017), and is distinct from a Direct Debit. The Direct Debit Guarantee does not apply.

Payment Method – Card Only

Payment must be made by a valid Visa or MasterCard debit or credit card. Hublix does not support payment by Direct Debit, bank transfer, cash, or any other payment methods. You must provide your card details at sign-up. By providing your card, you confirm you are an authorized user of that card and you authorize Hublix to charge the subscription fees to it.

Hublix's third-party payment processor (Square) will securely store your card information and process payments in compliance with industry standards (PCI-DSS). (For security, Hublix itself does not retain your full card number or CVV; these details are tokenized and stored by Square.)

In order to comply with UK payment security laws (PSD2) requiring Strong Customer Authentication (SCA) for online payments, you may be asked to complete an authentication step (such as 3D Secure verification) when entering your card details or for certain transactions. Usually, recurring payments after the first charge do not require SCA every time, unless the amount changes or your bank periodically mandates it.

By agreeing to these Terms and providing your payment details, you consent to Hublix charging your card on a recurring basis under a Continuous Payment Authority for the subscription fees.

Please note that because subscriptions are handled directly by Hublix via card payment (outside of app store billing), Apple and Google are not involved in these transactions. The Hublix app is free to download, but the subscription must be purchased through our website; therefore, you cannot seek subscription support or refunds from the Apple App Store or Google Play Store, as those platforms are not responsible for our subscription service.

Billing Issues and Updates

It is your responsibility to ensure the payment card on file is current, valid, and has sufficient funds or credit available each week. If your card is due to expire, has been replaced, or if you wish to use a different card, you must update your payment details via your account on the Hublix website before the next billing date. You can manage your payment information in your account settings on our site.

By providing new card details (or if your bank automatically updates your card expiration or number), you authorize Hublix to charge the updated card details going forward. If you believe an invoice or charge is incorrect, you must contact Hublix support as soon as possible so we can review and correct any mistake.

Providing false or unauthorized card details is strictly prohibited – it may be treated as fraud and could lead to termination of your account and potential legal action. Hublix is not responsible for any fees that your bank or card issuer may charge you as a result of attempted payments (for example, overdraft or over-limit fees); you should ensure sufficient funds are available. If you anticipate that a payment might fail (e.g. you realize your card has been lost or blocked), please update your details or notify us proactively to avoid service interruption.

4. Cancellations, Refunds, and Failed Payments

Your Right to Cancel

You may cancel your subscription at any time, with the cancellation taking effect at the end of the then-current weekly billing period. Cancellation can be done through the Hublix website (via your account settings) or by contacting Hublix support. There are no long-term commitments – the subscription is a rolling week-to-week arrangement.

However, to avoid being charged for the upcoming week, you must cancel before we process the payment for that week (i.e. cancel by Wednesday 23:59 UK time, since weekly charges are made on Thursday). If you cancel after your weekly payment has already been processed (i.e. after Thursday for the upcoming week), then the cancellation will take effect at the end of that paid week.

In other words, you will not be refunded for the current weekly period once payment has been taken, but you will retain access to the Platform until the end of the week that you've paid for. After that, your account will be deactivated or downgraded to a free read-only status (if such a free tier is available in the future).

No Pro-Rata Refunds

Subscription fees cover the use of the Platform for whole weekly periods and are charged in advance. Except as required by law or expressly stated in these Terms, fees are non-refundable. This means if you cancel mid-week or stop using the Platform, we will not issue partial refunds for any unused days in your weekly period.

In rare cases where you were charged in error or charged when you should not have been (for example, due to a technical billing mistake), or where a refund is mandated under consumer protection law, we will review and address the situation; otherwise, all sales are final.

(Note: As a self-employed business user of this Platform, statutory consumer "cooling-off" cancellation rights under the Consumer Contracts Regulations may not apply. However, if you are deemed a consumer under the Consumer Rights Act 2015 and statutory cooling-off rights do apply, you acknowledge that by commencing use of the digital service immediately upon acceptance, the 14-day cooling-off period ends and fees are chargeable for any period of service provided.)

Failed Payment and Grace Period

If we are unable to successfully charge your card on the scheduled billing day (for example, your weekly subscription payment attempt on Thursday fails), we will notify you (via the app and/or email) and automatically initiate a short grace period. You will have a brief window to resolve the payment issue (for example, by adding funds or updating your card details) while we retry the charge.

Specifically, after the first failed charge on Thursday, we will make up to two (2) further attempts to collect the payment – typically one retry on the next day (Friday) and a final retry on the following day (Saturday). During this grace period (Thursday through Saturday), your subscription remains active and you can continue to use the Platform as normal.

However, if payment has still not been successfully received by the end of Saturday (i.e. the final retry on Saturday fails or the amount remains unpaid as of Saturday 23:00 UK time), then your subscription will be suspended effective Sunday at 00:01 (the start of the new subscription week) due to non-payment.

Access Block for Non-Payment

If the weekly fee for the upcoming week remains unpaid on Saturday 23:00 (UK time), your account will be blocked from login at Sunday 00:01. No access is available until payment is received. Once the overdue fee is paid (e.g., updated card successfully charged), access is restored immediately. Your billing day remains Thursday unless we notify you otherwise.

If the overdue fee is not paid within 14 days of the block, Hublix may treat this as a termination for breach (non-payment).

Termination for Non-Payment

If the subscription remains unpaid for 14 days after suspension (i.e. 14 days from when your account was first suspended for non-payment have elapsed with no successful payment), Hublix may treat this as a termination of your subscription due to your breach (non-payment). At that point (day 15 from the missed payment), your account may be fully deactivated and you will no longer have access to the Platform.

Data After Termination

Upon termination of your subscription for any reason, we handle your data in accordance with our Privacy Notice v1.0 (effective 10 November 2025).

Immediate deletion: We immediately delete login credentials (password hash), active payment card tokens (deactivated with Square; no further charges possible), detailed usage logs, and device/technical logs.

Archive period (up to 24 months): We place inactive accounts into archive for up to 24 months to support seasonal Service Providers who may wish to return. During archive, we retain minimal data: core identity (name, date of birth, contact details), Service Provider credentials (DVLA check results), last registered vehicle details, subscription history, and compliance/audit records. You may request early deletion at any time (see Privacy Notice Section 5 for your rights).

Permanent deletion: After 24 months of continuous inactivity, we permanently delete or anonymize your personal data, except for records we must keep for legal/accounting purposes.

Financial and legal records: We retain key transactional and audit records (including invoices, payment logs, Terms acceptance records, and Continuous Payment Authority consent evidence) for up to 6 years from the end of the financial year in which the transaction occurred, as required by UK tax law and for the establishment or defense of legal claims. These records are handled in accordance with our Privacy Notice and are not used for other purposes.

Collections and Chargebacks

If your subscription is terminated for non-payment, you remain responsible for any unpaid subscription fees that accrued prior to termi .nation. Hublix reserves the right to pursue any outstanding amounts you owe for the services provided, including engaging a third-party collections agency or taking legal action if necessary to recover the debt.

We do not typically charge interest or late fees on overdue amounts given the short billing cycle. However, if a significant sum remains unpaid for an extended period, we reserve the right to charge statutory interest on the overdue amount as permitted by law. We will notify you before adding any such interest.

If you (or your bank) initiate a chargeback or dispute of a subscription payment with your card issuer, we will treat it seriously. Unwarranted chargebacks are considered a breach of this Agreement. We may immediately suspend your account while the matter is investigated. Please contact us first for any billing issues – we can often resolve issues faster directly.

No Direct Debit

For clarity, Hublix does not utilize the UK Direct Debit system for subscription payments. All payments are taken by card, under your continuous card payment authorization. This means the Direct Debit Guarantee does not apply to your payments.

You have the right to cancel your continuous card payment authority at any time – the simplest way to do so is by cancelling your Hublix subscription (which stops further charges), and you may also instruct your bank to block future payments to us. Until you cancel, we will treat the authority as in effect.

5. Permitted Use of the Platform

Proper Use Only

You agree to use the Hublix Platform only for lawful purposes and in accordance with this Agreement. You must not use the Platform in any way that violates any applicable laws or regulations, infringes the rights of any third party, or could harm, disrupt, or otherwise impair the Platform's functionality or security.

You will not attempt to gain unauthorized access to the Platform or underlying systems, nor will you knowingly introduce any viruses, malware, or harmful code. You are responsible for all content and data that you input or upload into the Platform.

Account Security

You must keep your account credentials (login ID and password) confidential. Do not share your login details with anyone else. You are responsible for any activity that occurs under your account. If you suspect any unauthorized access to your account, you must notify Hublix immediately and change your password.

Prohibited Activities

In using the Platform, you agree NOT to: (i) attempt to circumvent any subscription controls; (ii) abuse support or communication features; (iii) use any automated system to extract data without permission; or (iv) use the Platform in a manner that excessively burdens our infrastructure.

If Hublix suspects any misuse or prohibited activity, we may suspend or restrict your access while we investigate. Serious violations may result in termination of your account.

6. Term and Termination

Term of Agreement

This Agreement commences when you accept these Terms and continues on a rolling weekly basis until terminated by either party as permitted herein.

Your Termination Rights

You may terminate (cancel) your subscription at any time as described in Section 4. If you cancel, these Terms will terminate at the end of the last week for which you have paid.

Hublix Suspension or Termination Rights

Hublix may suspend or terminate your subscription with immediate effect if you materially breach these Terms, fail to pay subscription fees, no longer meet eligibility requirements, or if your use poses a risk to our systems or other users. We will inform you of the reason for any suspension or termination.

Effect of Termination

Upon termination, your right to use the Platform will cease. You must immediately stop using the Platform and uninstall the app. We will handle your data as described in our Privacy Notice v1.0 (Section 4).

7. Liability and Disclaimers

Platform Provided "As Is"

Hublix will endeavor to provide the Platform services with reasonable skill and care. However, the Platform is provided "as is" and "as available", to the fullest extent permitted by law. We do not warrant that the Platform will be available uninterrupted or error-free at all times.

Hublix disclaims all warranties not expressly stated in these Terms, including any implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the extent permitted by law, Hublix's total liability to you for all claims shall be limited to the total subscription fees paid by you in the three (3) months immediately preceding the event, or £100, whichever is greater.

Hublix will not be liable for: (a) loss of profits, business, contracts, revenue, or goodwill; (b) loss or corruption of data; or (c) any indirect or consequential loss.

Unlimited Liability Exclusions

We do not exclude or limit our liability for: (1) death or personal injury caused by our negligence; (2) fraud or fraudulent misrepresentation; or (3) any other liability that cannot be excluded by law.

Indemnity

You agree to indemnify and hold harmless Hublix from any claim made by a third party due to your use of the Platform in violation of these Terms, any content you submit that infringes third party rights, or your provision of delivery services to third parties.

8. General Provisions

Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales. Both you and Hublix agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of this Agreement.

Changes to Terms

Hublix may modify these Terms from time to time. We will give you notice of material changes at least 30 days before the change takes effect, except for changes addressing newly introduced features or urgent legal obligations.

If you do not agree to the updated Terms, you have the right to terminate your subscription before the changes apply. Your continued use after the effective date will constitute your acceptance of the changes.

Entire Agreement

This Agreement, including the Subscription Schedule, the Privacy Notice v1.0 (effective 15 November 2025), and the Cookie Policy, constitutes the entire agreement between you and Hublix regarding your use of the Platform.

Electronic Signature and Consent

You consent to the use of electronic records and signatures. By clicking "Agree", you acknowledge that this constitutes your electronic signature. Under UK law, an electronic signature cannot be denied legal effect solely because it is in electronic form.

Schedule 1: Subscription Schedule

The Subscription Schedule is a separate document that forms an integral part of these Terms of Use and is incorporated by reference.

The Subscription Schedule sets out the specific commercial terms for your subscription, including:

• Available subscription plans (e.g., Basic Plan, Plus Plan)
• Pricing for each plan
• Service week definition and billing cycle
• Billing time and cancellation cut-off
• Payment retry schedule (dunning ladder)
• Access control procedures for non-payment
• Payment methods accepted
• Refund policy
• Record-keeping requirements

Material Changes: We will notify you at least 30 days in advance of any material changes to the Subscription Schedule (such as price increases, changes to billing cycles, or removal of plans). You will have the right to cancel your subscription before such changes take effect.
